1. Agreement

These Terms of Service ("Terms") govern your access to and use of ListFlow (the "Service"), operated by Regolith LLC ("we", "us"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

ListFlow is a seller-side tool for creating, editing, and managing trading card listings and inventory on eBay. The Service acts on your behalf against your own connected eBay seller account.

3. Your Account and Eligibility

The Service is used through a connected eBay seller account. The holder of that eBay account must be at least 18 years old, able to enter a binding contract, and eligible to sell on eBay. By accepting these Terms as an account holder, you confirm you meet those requirements, and if you are accepting on behalf of a business, that you are authorized to bind it.

You may authorize other people to use the Service under your eBay account — for example, staff who prepare and publish your listings. Authorized users must be at least 16 years old. You remain responsible for everything they do through the Service, and for making sure they follow these Terms and the eBay Agreement. If you are an authorized user under someone else’s account, you may use the Service only with that account holder’s permission and under their supervision.

You must provide accurate registration information and keep it current. You are responsible for all activity under your account and for maintaining the confidentiality of your credentials. Notify us promptly at info@thecardlots.com of any suspected unauthorized access.

4. Connecting Your eBay Account

The Service requires you to authorize access to your eBay seller account via eBay's OAuth flow. You authorize us to create, revise, and end listings, and to read order and listing data, on your behalf, solely to provide the Service. We never receive or store your eBay password. You may disconnect your eBay account at any time, which ends our authorization.

5. Your Content and Responsibilities

You retain ownership of the photographs, descriptions, and listing data you upload. You grant us a limited licence to host and process that material to operate the Service, including processing your photographs through automated identification systems — our own self-hosted systems, and in some cases OpenAI, as described in our Privacy Policy — so the Service can recognise your cards and pre-fill listing details. That licence also lets us use your card photographs and the corrected card details to train and improve our own card-identification system. We do not sell that material, and we do not license it to anyone else.

You are solely responsible for the accuracy and legality of your listings and for compliance with eBay's policies. You agree not to use the Service to infringe intellectual property, misrepresent items, or violate any law or marketplace rule.

6. eBay Terms Apply to You (eBay API License Agreement §4.2)

The Service accesses eBay through our Application Keys under the eBay API License Agreement (the "eBay Agreement"). As a condition of using the Service:

(a) You are bound by the eBay Agreement. You agree to comply with the eBay Agreement, available at https://developer.ebay.com/join/api-license-agreement, as it applies to your use of the Service, and with the eBay User Agreement and eBay's policies. In the event of a conflict between these Terms and the eBay Agreement with respect to eBay data or eBay's services, the eBay Agreement controls.

(b) eBay is a third-party beneficiary. eBay Inc. and its affiliates are intended third-party beneficiaries of this Section 6 and may enforce it directly against you.

(c) The permission granted to you is revocable. Any sublicense or permission granted to you under the eBay Agreement is revocable by us or by eBay at any time, with or without cause and without notice.

(d) No programmatic access. You are granted no direct or programmatic access to eBay's APIs, and no access to our Application Keys, which are confidential and are never disclosed to you.

(e) Shared call limits. All eBay API calls made on your behalf are made using our Application Keys and count against our API call limits. We may throttle, queue, suspend, or limit your use of the Service to stay within those limits.

(f) Your breach is our breach. Under the eBay Agreement, acts or omissions by users of the Service are treated as ours. You therefore agree to use the Service in a manner that does not cause us to breach the eBay Agreement, and we may suspend or terminate your access immediately if your use creates that risk.

7. Prohibited Uses

You may not, and may not permit anyone else to:

  • use eBay data obtained through the Service to suggest or model prices other than for constructing or editing your own listings, or otherwise outside the purposes permitted by the eBay Agreement;
  • use eBay data to train algorithms, conduct machine learning, build synthetic datasets, or train artificial intelligence systems;
  • copy, sell, rent, redistribute, or publish eBay data obtained through the Service;
  • use the Service to compete with eBay or to build a competing marketplace or data service;
  • attempt to obtain our Application Keys or to access eBay's APIs directly through the Service;
  • attempt to circumvent any rate limit, quota, or access control;
  • access another person’s account credentials, or any data or uploaded content belonging to an eBay seller account you are not authorized to use. People working under the same eBay seller account share that account’s inventory, as described in our Privacy Policy.

8. Data and Privacy

Our handling of personal information is described in our Privacy Policy, which forms part of these Terms. You are responsible for handling any buyer personal information you obtain through the Service in accordance with applicable law and eBay's requirements, including deleting it when it is no longer needed.

9. Availability

The Service is provided on an "as is" and "as available" basis. We do not guarantee uptime, and we depend on third-party services (including eBay) whose availability we do not control. We may modify, suspend, or discontinue any part of the Service at any time.

10. Disclaimers and Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.

Nothing in these Terms limits liability that cannot be limited by law.

11. Indemnification

You will indemnify, defend, and hold harmless Regolith LLC and its officers, employees, and agents, and eBay Inc. and its affiliates, from any third-party claim, loss, or expense (including reasonable legal fees) arising from your use of the Service, your listings, your content, or your breach of these Terms or the eBay Agreement.

We will notify you promptly of any such claim and give you sole control of the defence, provided that any settlement imposing liability or an admission on us requires our prior written consent. We will cooperate with your defence at your expense.

12. Suspension and Termination

We may suspend or terminate your access at any time, with or without notice, for any reason, including suspected breach of these Terms or the eBay Agreement, or where required by eBay. You may stop using the Service and disconnect your eBay account at any time.

On termination, we will delete or de-identify your data in accordance with our Privacy Policy and any obligations we owe eBay, including destroying eBay content and personal information within the period the eBay Agreement requires.

13. Changes to These Terms

We may modify these Terms. Non-material changes take effect when we post them. For material changes we will publish a new version and require you to accept it before you can continue using the Service.

14. Governing Law

These Terms are governed by the laws of the State of Pennsylvania, without regard to conflict-of-law rules. The exclusive venue for disputes is the state and federal courts located in Pennsylvania.

16. General

Severability. If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary and the remaining provisions stay in force.

Assignment. You may not assign these Terms without our written consent. We may assign them to a successor in connection with a merger, acquisition, or sale of assets.

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the Service, and replace any earlier discussions.

No waiver. If we do not enforce a provision, that is not a waiver of our right to enforce it later.

Survival. Sections 5, 6, 7, 8, 10, 11, 12, 14 and 16 continue to apply after these Terms end.
